A beneficial owner is a natural person who ultimately owns or exercises significant control over a legal entity, a company, trust, partnership, or similar structure. In payments and financial services, identifying beneficial owners is a critical component of KYB (Know Your Business) compliance programs and AML (Anti-Money Laundering) regulations.
The US Financial Crimes Enforcement Network (FinCEN) defines beneficial owners as individuals who own 25% or more of a legal entity, plus any individual who exercises significant managerial control. Similar definitions apply under EU Anti-Money Laundering Directives and equivalent regulations in other jurisdictions. Financial institutions and payment companies must collect and verify beneficial owner information before establishing business relationships.
In the context of merchant onboarding, whether by a Payment Facilitator (PayFac), Acquirer, or Payments Orchestration Platform, beneficial ownership verification is a standard step in the underwriting process. The goal is to prevent criminals from using shell companies or nominee structures to move funds through the payments system. Verifying that the people ultimately controlling a business are who they say they are is the first line of defense against money laundering, fraud, and sanctions violations.
Regulators require it because the payments system can be used to launder money and evade sanctions through complex corporate structures. By requiring identification of the humans who ultimately control a business, regulators make it harder to hide criminal activity behind layers of legal entities.
Beyond the ownership threshold (typically 25%), significant control includes positions like CEO, CFO, COO, Managing Member, General Partner, or any other executive who has substantial authority over the company's operations, finances, or compliance functions. Payment companies typically require beneficial owner information for all individuals who meet either the ownership or the control threshold.
If a payment company cannot verify beneficial owner information to its satisfaction, it will typically decline to establish or continue the business relationship. Payments companies have both regulatory obligations and reputational incentives to avoid onboarding businesses with opaque ownership structures.
