A Third-Party Sender (TPS) is a company that initiates ACH (Automated Clearing House) transactions on behalf of originators, businesses that want to send or receive ACH payments, without those originators having a direct relationship with an ODFI (Originating Depository Financial Institution). The TPS effectively acts as an intermediary, aggregating ACH transaction volume from multiple originators and submitting it through its own banking relationship.
Nacha (the governing body for the ACH network) defines TPS status formally and imposes specific registration, compliance, and risk management requirements on entities that act as Third-Party Senders. TPSs must register with Nacha, conduct due diligence on the originators they serve, and take responsibility for ensuring that originators comply with ACH rules.
The TPS model enables businesses to offer ACH payment initiation as a service, common in payroll processing, accounts payable automation, insurance premium collection, and marketplace payouts. Without the TPS structure, each business that wanted to send ACH payments would need to establish its own ODFI relationship, which is a significant barrier.
Compliance risk is inherent in the TPS model. Because the TPS aggregates transactions from multiple originators, a bad actor among its originator base can generate Unauthorized Returns that create liability for the TPS and its sponsoring ODFI.
Nacha requires TPSs to register formally, conduct annual audits of their ACH programs, perform due diligence on all originator relationships, and monitor return rates for each originator. Originator return rates above Nacha thresholds (typically 0.5% for unauthorized returns and 3% for overall returns) trigger review and potential suspension.
The TPS concept is specific to the ACH network and is defined by Nacha rules. A card payment processor routes transactions over card network rails and is governed by card network rules (Visa, Mastercard, etc.).
The TPS bears responsibility to Nacha and its sponsoring ODFI for ensuring originator compliance. If an originator generates excessive unauthorized returns or violates ACH rules, the TPS can be held liable and may face suspension of its ACH origination privileges.
